Terms of Use — Railpointpay
These Terms of Use (“Terms”) govern your access to and use of https://railpointpay.com, related public materials, demos, and merchant checkout session interfaces (together, the “Site”). By using the Site, you agree to these Terms.
These Terms cover the website, demos, and checkout product surfaces. They are not a custody agreement, exchange agreement, or a promise that any particular licensed ramp is live. Live ramp enablement (for example our licensed on-ramp partner, Transak, after KYB clearance) and any commercial merchant agreement sit in separate written terms where applicable.
1. Who we are (and are not)
Railpointpay is an Australian merchant checkout product. In plain language:
| We do | We do not |
|---|---|
| Orchestrate checkout sessions so buyers can pay fiat on a licensed ramp | Hold or custody buyer or merchant funds |
| Surface status pages and webhooks as technical processing of payment state | Operate an operator hot wallet for settlement |
| Settle crypto to the merchant-controlled wallet you configure | Collect or store full card PAN on this origin |
| Offer mock ramp flows for review until a live licensed partner is enabled | Run a path-B crypto exchange on railpointpay.com |
We are not a bank or authorised deposit-taking institution. We do not claim an AFSL, Australian credit licence, or gambling licence on this Site.
2. Product description — merchant checkout
Railpointpay merchant checkout is designed so that:
- buyers pay fiat through a licensed payment ramp (mock ramp now; licensed on-ramp partner (Transak) when KYB and commercial enablement clear);
- crypto settlement is directed to the merchant wallet under the merchant’s control;
- the operator never holds settlement funds;
- full card PAN does not land on this origin.
Once enabled, the licensed on-ramp partner (Transak) processes the buyer's fiat payment and, under Transak's Terms of Service, delivers the digital asset to the merchant's wallet on the buyer's behalf. Railpointpay does not process the fiat payment or hold the funds.
Content on the Site (including demos, settlement previews, and status UI) is product information. Mock flows are for review and integration testing. They are not a claim that live production ramp settlement is enabled until we say so in writing or on the live checkout host.
3. Informational site — no automatic offer
Content on the Site is general information for prospective merchants and visitors. It is not:
- an offer capable of immediate acceptance for live production settlement;
- financial, legal, or tax advice;
- a guarantee that any ramp partner will approve a merchant or a particular transaction;
- authorisation to treat mock sessions as live cleared funds.
4. Merchant onboarding, demos, and sessions
If you email us, use a demo, or create checkout sessions:
- you must provide accurate information;
- you must only use the product for lawful goods and services you are entitled to sell;
- you are responsible for the merchant wallet address you configure and for verifying settlement on-chain;
- starting a demo or session does not by itself create a paid commercial contract beyond these Terms;
- webhooks and status pages are technical processing tools — you must secure your endpoints and treat inbound events as untrusted until verified.
5. Acceptable use of the Site
You must not:
- scrape, attack, or overload the Site;
- upload malware or unlawful content;
- misrepresent your identity, business, or the goods/services you sell;
- use the Site to solicit or facilitate illegal activity, sanctions evasion, or other prohibited conduct;
- attempt to route card PAN through railpointpay.com or to treat the operator as a custodian of funds.
We may block access, suspend sessions, or ignore communications that breach this section.
6. Intellectual property
Site text, branding, layout, and demo UI are owned by us or our licensors. You may view and share public pages for genuine product evaluation. You may not copy the Site to run a competing lookalike product or remove notices.
7. Privacy
Personal information is handled under our Privacy Policy. Do not send full card PAN, CVV, or unnecessary identity documents by open email.
8. Third-party services
The Site and checkout stack may rely on third parties (hosting, email such as Mailgun, licensed fiat ramps, logging). Their terms and privacy policies also apply to their processing. We are not responsible for third-party sites linked from ours. Until a live ramp partner is enabled, fiat payment UI may be a mock for review only.
9. Disclaimers
To the maximum extent permitted by law:
- the Site is provided “as is” and “as available”;
- we do not warrant uninterrupted access, error-free content, or that any ramp partner will approve a merchant or transaction;
- blockchain networks, ramp partners, and laws change — public summaries can lag;
- mock ramp sessions do not constitute live production settlement.
Australian Consumer Law: If you are a consumer or small business entitled to non-excludable guarantees under the ACL, nothing in these Terms excludes those guarantees. Our liability for failure to comply with such a guarantee is limited (where allowed) to resupply of services or payment of the cost of resupply.
10. Liability
To the maximum extent permitted by law, we are not liable for indirect, consequential, or loss-of-profit damages arising from Site use, demo reliance, webhook misconfiguration, or wallet addresses you supply.
For other loss arising from the Site (not from a separate signed commercial contract), our aggregate liability is limited to AUD 500 or the amount you paid us for Site access in the prior 12 months (usually nil), whichever is greater — except for fraud, wilful misconduct, or liability that cannot be limited by law.
Separate contracts with merchants or ramp partners will have their own liability terms.
11. Indemnity (business users)
If you use the Site in a business capacity, you indemnify us against claims arising from your unlawful use of the Site, false onboarding information, unlawful goods or services you sell, or settlement addresses you configure incorrectly — except to the extent caused by our fraud or wilful misconduct.
12. Changes
We may update these Terms by posting a new version with a new “Last updated” date. Continued use of the Site after posting means you accept the updated Terms. Material changes affecting an active signed merchant arrangement will be called out in that arrangement where practicable.
13. Governing law
These Terms are governed by the laws of Victoria, Australia. Courts of Victoria (and the Federal Court of Australia) have non-exclusive jurisdiction — without limiting any non-excludable consumer rights.

15. Quick product statements (for clarity)
- Merchant checkout only: fiat via licensed ramp → crypto to the merchant wallet.
- Operator does not custody funds and does not run an operator hot wallet for settlement.
- No full card PAN on this origin.
- Mock ramp until a live licensed partner is enabled.
- Status pages and webhooks are technical processing of session state — not custody.
